Terms of service
Last updated October 28, 2026 · Version 2026-10-28
These Terms of Service (the "Terms") are an agreement between Freesbe, Inc., a Delaware corporation ("Freesbe", "we", "us" or "our"), and you. They cover the Freesbe service: our web, desktop and mobile apps, the API, phone and meeting features, and everything we provide through them (the "Service"). The website freesbe.net is also covered by our Website Terms of Use, and how we handle personal information is explained in our Privacy Policy.
You agree to these Terms when you tick the box or click the button that says so, or when you use the Service. If you do so for a company or other organization, you agree on its behalf and confirm that you have the authority to, and "you" and "Customer" mean that organization. If you don't agree with them, please don't use the Service.
The short version
- Your work stays yours. Everything your team puts into Freesbe belongs to your workspace. We host and process it only to run, secure and support the service, in the region you chose.
- We never train AI on it. AI features send only what a request needs to providers who can't keep or train on it, and admins can turn them off. Check AI output before you rely on it.
- Your workspace sets its rules. Its owners and admins decide who joins, what's kept and which features are on, and can see and export what's in it. The organization running a workspace answers for how its people use it.
- Play fair. No illegal content, harassment, spam or malware, and record calls only with the notice the law requires. The Acceptable Use Policy has the list.
- Phone features have limits. 911 over the internet can fail without power, a connection or a current address, so keep another way to call for help. Numbers are rented, not owned.
- Billing without surprises. Paid plans renew until you cancel, which you can do any time. Adding seats is charged now; removing them takes effect at the end of the period. We give 30 days' notice before a price increase.
- What we promise. Paid plans get a service that works as documented and stays secure, or a refund for the rest of the period. Beyond that we don't promise perfection.
- What we owe each other is capped, usually at what you paid us in the past 12 months, and neither side pays for indirect losses such as lost profits. Fraud and serious misconduct aren't capped.
- If we disagree, we talk first. If that fails, an individual arbitrator decides, not a court or jury, and not as a class action. Small claims court stays open, and you can opt out of arbitration within 30 days of agreeing.
- Changes come with notice. We post every version, tell you 30 days ahead of a material change, and may ask you to agree again in the app.
This summary, and the "In plain English" notes under the headings, are here to help you read. They aren't part of the agreement, and where they and the full text differ, the full text applies.
Please read Section 16 carefully. It says that, with limited exceptions, disputes between you and Freesbe are resolved by binding individual arbitration, not in court, and that you give up the right to a jury trial and to take part in a class action. You can opt out of arbitration within 30 days, as Section 16.8 explains.

1. This agreement
In plain English: The deal is these Terms, the plan and prices you chose, and our policies. A contract your organization signed with us comes first where it differs, and the fine print on your own purchase orders doesn't apply.
1.1 What's included. This agreement is made up of these Terms, the plan and prices shown when you buy or change a subscription (or an order form we both sign, an "Order Form"), and the policies these Terms refer to, including the Privacy Policy and, where it applies, a data processing agreement. If they conflict, an Order Form wins, then these Terms, then the policies.
1.2 Signed agreements. If your organization signed a separate agreement with us for the Service, that agreement applies instead of these Terms where they differ.
1.3 Purchase orders. Terms in a purchase order, vendor form or similar document you send us don't apply, even if we accept or sign it.
2. Accounts and workspaces
In plain English: Keep your sign-in details to yourself and your account details accurate, and be at least 16. A workspace belongs to the organization that runs it: its owners and admins set the rules, can see and export what's in it, and answer for how their members, guests and apps use Freesbe.
2.1 Your account. You need an account to use most of the Service. Give us accurate details and keep them up to date. You must be at least 16, and old enough where you live to agree to these Terms. If you agree for an organization, you must be an adult.
2.2 Keeping it safe. Keep your password, sign-in codes, passkeys, API tokens and devices secure, and don't share your account. You're responsible for everything done with your account. Tell us right away at support@freesbe.net if you think someone else got in.
2.3 Workspaces. A workspace belongs to the Customer that runs it. Its owners and admins decide who can join, what members and guests can do, how long content is kept, and whether recordings, AI features, integrations and phone features are on. They can read, export, change and delete content in the workspace, as the law and the workspace's settings allow. If you join a workspace someone else runs, that Customer's own rules may apply to you as well, and you should ask them how they use your content.
2.4 The Customer's responsibility. The Customer is responsible for its members, guests, apps and agents, and for their use of the Service, as if it were its own. It makes sure they follow these Terms, and that it has the notices, consents and rights the law requires for the data it puts into the Service.
3. The service
In plain English: We work to keep Freesbe available, secure and improving, and warn you about planned maintenance when we can. If we cut a paid plan's core features during a period you've paid for, you can cancel and get the rest refunded. Betas, free plans and trials come as they are.
3.1 Providing it. We'll use commercially reasonable efforts to provide the Service in line with these Terms and our documentation, and to keep it available, secure and working well. Maintenance, outages at our providers, and causes beyond our reasonable control may interrupt it. We'll tell you ahead of planned maintenance that we expect to affect you, when we reasonably can. Current status is at freesbe.net/status.
3.2 Support. We provide support by email and in the help center, in line with your plan. An Order Form may add support or service-level commitments.
3.3 Changes to the Service. We keep improving the Service, so features change. We won't make a change that materially reduces the core features of a paid plan during the period you've paid for, unless the law, security or a provider we rely on requires it. If we do, you can cancel and get a refund of prepaid fees for the rest of that period.
3.4 Previews and free plans. Features marked beta, preview or early access, free plans and trials are provided as they are, may change or end at any time, and come with no warranty, support commitment or service level.
3.5 Apps. We license you to install and use our desktop and mobile apps while you use the Service, only to use it. App stores' own terms may also apply to apps you get from them.
4. Your data
In plain English: Your content is yours. We handle it only to run, secure and support Freesbe, follow your admins' settings, and keep it in the region chosen for your workspace. For running and improving the service we collect counts, durations and errors, never what was said or shared, and we tell you about a security breach without undue delay.
4.1 It's yours. "Customer Data" means messages, files, recordings, transcripts, call and meeting content, contacts and other content that you, your members and guests put into the Service, or that integrations bring into it for you. As between you and us, the Customer owns Customer Data.
4.2 What you let us do. You give us a worldwide, limited license to host, copy, process, transmit and display Customer Data only to provide, secure and support the Service, to prevent abuse, and as the law requires. We'll follow the workspace's settings and its admins' instructions, and the data processing agreement where it applies.
4.3 Where it's stored. A workspace's data is kept in the region chosen for it, as described in the data residency guide. Only regions marked as guaranteed are a commitment.
4.4 Usage data. We collect information about how the Service is used and performs, such as counts, durations, errors and settings ("Usage Data"). We use it to run, secure, bill for and improve the Service, and may share it only in aggregate or de-identified form that doesn't identify you, your users or your content. Usage Data never includes what was said, written, shared or asked.
4.5 Security. We use administrative, technical and physical safeguards designed to protect Customer Data, as described on our security page. If we learn of a security breach affecting Customer Data, we'll tell you without undue delay and as the law requires.
4.6 Your content's legality. You're responsible for Customer Data and for having the rights to it. We don't review it before it's shared, and we don't endorse it.
4.7 Personal information. When we process personal information in Customer Data, we do so for the Customer, as its processor or service provider. Our Privacy Policy explains the personal information we handle for our own purposes, such as accounts and billing.
5. AI features
In plain English: AI features send only what a request needs to AI providers who can't train on it, and we never train models on your content. Admins can turn AI features off. AI can be wrong, so check its output before you act on it.
5.1 How they work. Some features use artificial intelligence, such as summaries, transcripts, translations, answers and agents. Admins can turn them off. To provide them, we send the needed Customer Data to AI providers that process it for us under contracts that don't let them train their models on it.
5.2 No training on your data. We don't use Customer Data to train AI models, ours or anyone else's.
5.3 Check the output. AI output can be inaccurate, incomplete or unexpected. Review it before you rely on it, especially for legal, medical, financial, employment or safety decisions. As between us, you own the output you get, subject to these Terms.
6. Acceptable use
In plain English: Nothing illegal, harmful, deceptive or spammy; no recording people without the notice the law requires; no malware, attacks, scraping or reverse engineering; no reselling; no data that needs special legal protection unless we've agreed to it; no use from sanctioned countries. The Acceptable Use Policy has the full list.
You'll follow our Acceptable Use Policy, which is part of these Terms. In particular, you won't, and won't let anyone else:
- Break the law, infringe others' rights, or help anyone else do so.
- Harass, threaten, defraud or impersonate anyone, or share content that sexually exploits children, promotes violence or terrorism, or that you don't have the right to share.
- Send spam or unsolicited messages, calls, texts or invites, including robocalls and messages that break telemarketing, anti-spam or consent laws.
- Record, transcribe or monitor calls, meetings or messages without the notice and consent the law requires. Where the law needs everyone on a call to agree, you're responsible for getting their consent.
- Upload malware, or probe, scan, attack, overload or get around the security, limits or access controls of the Service, except in a security test we agreed to in writing.
- Copy, modify, reverse engineer, decompile or try to discover the source code of the Service, except where the law expressly allows it despite this restriction.
- Resell, rent, sublicense or offer the Service to others as a service bureau, or use it to build a competing product.
- Scrape the Service, or access it by automated means other than our API and documented integrations, within their limits.
- Put into the Service data that a law requires special protection for (such as protected health information under HIPAA or payment card numbers), unless we've agreed in writing that it may be stored there.
- Use the Service from, or for anyone in, a country or on a list the United States embargoes or restricts, or break export control or sanctions laws.
We don't have to monitor how the Service is used, but we may, and we may remove content or limit access that we reasonably believe breaks this section or the Acceptable Use Policy.
7. Phone, texts and emergency calls
In plain English: Phone features come through telecom partners with their own rules, and some need identity checks. 911 over the internet can fail or reach the wrong place without power, a connection or a current address, so keep the address up to date and another way to call for help. Numbers are rented while you pay for them, and you're responsible for consent before you text people.
7.1 Phone service. Phone numbers, calling, texting and messaging channels such as WhatsApp are provided with telecommunications partners and are subject to their rules and to telecommunications law. Some need you to verify your identity or business, and we may ask for more information or decline a request when the law or a partner requires it.
7.2 Emergency calls (911). Calling emergency services through Freesbe is different from a regular phone line. It depends on your internet connection and power, on your device, and on the emergency address you give us being correct. It may not work, or may connect to the wrong emergency center or without your location, during an outage, when you move, when you're outside the country of your number, or when an address is out of date. Keep the emergency address for each place you call from up to date, tell everyone who uses your lines about these limits, and keep another way to call emergency services. Emergency calling isn't available everywhere we offer numbers.
To the fullest extent the law allows, neither we nor our partners are liable for a failed, delayed or misrouted emergency call, or for the emergency services' response. The Customer is responsible for meeting the laws that apply to its own phone setup, such as direct dialing and notification under Kari's Law and dispatchable location under RAY BAUM'S Act.
7.3 Numbers. Phone numbers are assigned to you for as long as you pay for them and comply with these Terms. You don't own them. We'll help you port a number to another provider if your account is in good standing and the law allows. Numbers you release, or that stay unpaid, may be reassigned.
7.4 Texts and messaging. You're responsible for getting and keeping the consent the law and the carriers require before you send texts or messages, for honoring opt-outs, and for any registration the carriers require for your business messaging.
8. Integrations and other services
In plain English: Connecting a calendar, CRM or other service tells us to share data with it. Its own terms apply to it, we can't vouch for it, and we may drop an integration the other side changes or ends.
The Service connects to services we don't run, such as calendars, CRMs, help desks, single sign-on providers, app stores and payment processors. When you connect one, you tell us to share data with it as the integration describes. Their own terms and privacy policies govern your use of them, and we aren't responsible for them. We may stop supporting an integration if the other service changes or ends it.
9. Plans, fees and renewals
In plain English: You pay in advance for the plan, seats, add-ons and numbers you pick. Plans renew until you cancel, which you can do any time in the billing settings. Adding seats is charged right away; removing them takes effect at the end of the period, except in the first 7 days of a yearly plan. We give 30 days' notice of price increases, and you have 60 days to question a charge.
9.1 Fees. You pay the fees for the plan, seats, add-ons, phone numbers and usage you choose, at the prices shown when you buy or in an Order Form. Fees are in US dollars, paid in advance, and, except as these Terms or the law say otherwise, not refundable.
9.2 Automatic renewal. Paid plans renew automatically for another period of the same length, monthly or yearly, until you cancel. We charge your payment method at the start of each period. You can cancel at any time in the billing settings; cancelling stops the next renewal and the plan keeps working until the end of the period you paid for.
9.3 Changes during a period. Adding seats or add-ons is charged right away for the rest of the period. Removing them takes effect at the end of the period you've paid for, with no refund or credit. Yearly plans are a 12-month commitment; in the first 7 days after you buy or renew one, removing seats or add-ons gives a credit, so you can fix a mistake. The billing guide has the details.
9.4 Usage. Some features are charged by use, or have limits by plan (see plan limits). Use beyond what's included is charged at the prices then shown, or limited until the next period.
9.5 Trials. A free trial ends on the date shown. Unless you choose a paid plan, the workspace then moves to the free plan and its limits.
9.6 Price changes. We may change prices for the next renewal. We'll tell you at least 30 days before a price increase takes effect for you, and you can cancel before then.
9.7 Invoices and late payment. If we invoice you, payment is due within 30 days. Late amounts may bear interest of 1.5% a month or the highest rate the law allows, if lower, plus reasonable collection costs. If a payment fails or is late, we may suspend paid features after telling you. If you think a charge is wrong, tell us within 60 days of it.
9.8 Taxes. Fees don't include taxes. You pay all sales, use, value-added, telecommunications and similar taxes and regulatory fees on your purchases, except taxes on our net income.
10. Confidentiality
In plain English: Each side keeps the other's non-public information private and uses it only for this agreement, for 5 years after it ends, and for as long as your data remains your data.
Each party may get non-public business, technical or financial information from the other ("Confidential Information"). Ours includes non-public information about the Service, its features, performance and prices. Yours includes Customer Data. The party receiving it will protect it with at least reasonable care, use it only to perform this agreement, and share it only with its employees, contractors and advisers who need it and are bound to keep it confidential. This doesn't apply to information that is or becomes public through no fault of the receiving party, that it already knew or got lawfully from someone else without a duty of confidence, or that it developed independently. A party may disclose Confidential Information when the law requires it, after giving the other party notice where the law allows. These duties last for 5 years after the agreement ends, and for as long as the information remains a trade secret or Customer Data.
11. Our rights, and feedback
In plain English: Freesbe's software, apps, docs and brands stay ours; you get the right to use the service. Ideas you send us about it can be used freely, without owing you anything.
11.1 Ownership. We and our licensors own the Service, our software, apps, documentation, brands and everything we develop in providing it, and all intellectual property rights in them. These Terms don't give you any rights in them other than to use the Service as these Terms allow. We reserve all rights not expressly granted.
11.2 Feedback. If you send us ideas or suggestions about the Service, we may use them without restriction or payment to you.
12. Suspension and termination
In plain English: Leave whenever you like. We may pause access to prevent harm, for breaking the rules or for unpaid bills, and tell you why. Either side can end the agreement if the other breaks it and doesn't fix it within 30 days. A closed workspace stays read-only for 30 days so admins can export, then its data is deleted.
12.1 Term. This agreement lasts as long as you use the Service or have an account or workspace with us.
12.2 By you. You can stop using the Service at any time, cancel a plan, close a workspace or delete your account in the app. Cancelling doesn't refund what you've paid, except as these Terms say.
12.3 Suspension. We may suspend access, in whole or in part, if we reasonably believe it's needed to prevent harm to the Service, to other customers or to anyone else, if you break Section 6 or Section 7, if fees are overdue, or if the law requires it. We'll tell you why, when we can, and restore access once the problem is fixed. While we check a possible problem, we may first put an account or workspace under review and limit some features, as the Acceptable Use Policy describes.
12.4 Termination. Either party may end this agreement if the other materially breaks it and doesn't fix the breach within 30 days of written notice. We may end it right away for a serious breach of Section 6 or Section 7, or if we stop offering the Service, in which case we'll give at least 60 days' notice when we can and refund prepaid fees for the time after it ends.
12.5 Your data afterwards. When a workspace is closed or this agreement ends, the workspace stays available read-only for 30 days, so owners and admins can export its data, as the close a workspace guide explains. After that we delete Customer Data, except what the law requires us to keep and copies in backups until they expire.
12.6 What continues. Sections that by their nature should continue after the end of the agreement do, including those on fees owed, Customer Data, confidentiality, our rights, disclaimers, indemnification, limitation of liability, disputes and general terms.
13. Warranties and disclaimers
In plain English: For paid plans we promise Freesbe works as its documentation says and stays secure; if we don't fix a break within 30 days, you can end the subscription with a refund. Beyond that the service comes as is, with no other promises. The law asks for that paragraph to be in capital letters.
13.1 Ours. For paid plans, we promise the Service will work materially as its documentation describes, and that we won't materially reduce its overall security during the period you've paid for. If we break this promise and don't fix it within 30 days of your notice, you may end the affected subscription and get a refund of prepaid fees for the rest of the period. That is your only remedy for breaking this promise.
13.2 Yours. You promise that you have the rights, notices and consents needed for Customer Data and for how you use the Service, and that you'll use it in line with these Terms and the law.
13.3 Disclaimer. EXCEPT AS THESE TERMS EXPRESSLY SAY, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", AND WE AND OUR SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY AND NON-INFRINGEMENT. WE DON'T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT IT WILL MEET YOUR NEEDS, THAT AI OUTPUT WILL BE ACCURATE, OR THAT CALLS, MESSAGES OR EMERGENCY CALLS WILL ALWAYS GO THROUGH. Some places don't allow these disclaimers, so some may not apply to you.
14. Indemnification
In plain English: If someone claims that Freesbe infringes their US patent, copyright, trademark or trade secret, we defend you (on paid plans). If someone claims against us over your content, your use of Freesbe or the calls and texts you send, you defend us. Each side tells the other promptly and lets it run the defense.
14.1 By us. We'll defend you against claims by a third party that the Service, as we provide it and as these Terms allow you to use it, infringes their United States patent, copyright or trademark or misappropriates their trade secret, and pay the damages and costs finally awarded or the settlements we agree to. We don't have to for claims that come from Customer Data, from anything we didn't provide, from changes or combinations not made by us, from use that breaks these Terms, or from continuing to use the Service after we've told you to stop or offered a change that avoids the claim. If we think a claim is likely, we may change the Service so it doesn't infringe, get you the right to keep using it, or, if neither is reasonable, end the affected subscription and refund prepaid fees for the rest of the period. This section is our only responsibility, and your only remedy, for infringement claims. It doesn't apply to free plans or trials.
14.2 By you. You'll defend us and our affiliates, officers, employees and agents against claims by third parties that come from Customer Data, from your or your users' use of the Service in breach of these Terms or the law, or from calls, texts and messages you send, and pay the damages, fines, costs and reasonable attorneys' fees that result.
14.3 How it works. The party asking for defense must tell the other promptly, let it control the defense and settlement, and help reasonably at its cost. The defending party may not settle in a way that admits fault for, or imposes a duty on, the other without its consent.
15. Limitation of liability
In plain English: Neither side pays the other for indirect losses, such as lost profits or data. What either side owes in total is capped at what you paid us in the 12 months before the problem, or $100 if that's more. The cap doesn't cover fees you owe, the indemnities, breaking the acceptable-use rules, or what the law won't let anyone cap, such as fraud.
15.1 Types of damages. TO THE FULLEST EXTENT THE LAW ALLOWS, NEITHER PARTY, NOR OUR SUPPLIERS, IS LIABLE FOR LOST PROFITS, REVENUE, GOODWILL OR DATA, BUSINESS INTERRUPTION, THE COST OF SUBSTITUTE SERVICES, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF TOLD THEY WERE POSSIBLE.
15.2 Amount. TO THE FULLEST EXTENT THE LAW ALLOWS, EACH PARTY'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THIS AGREEMENT OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID AND OWED US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE LIABILITY, AND (B) ONE HUNDRED US DOLLARS ($100). MORE THAN ONE CLAIM DOESN'T RAISE THIS LIMIT.
15.3 Exceptions. These limits don't apply to your obligation to pay fees, to either party's obligations under Section 14, to your breach of Section 6, or to liability that the law doesn't allow to be limited, such as for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence.
16. Disputes and arbitration
In plain English: Talk to us first: a written notice, then a call within 45 days, settles most things. If not, an individual arbitrator (through JAMS) decides, not a court or jury, and claims can't be combined into a class action. Small claims court stays open. You can opt out of arbitration within 30 days of agreeing by emailing us. Delaware law applies, with the courts of Hillsborough County, Florida for what isn't arbitrated; consumers in the EU and UK keep their local protections.
16.1 Talk to us first. Most concerns can be settled quickly. Before starting an arbitration or a small claims case, the party with a dispute must send the other a written notice describing it, with their name, contact details and the account's email address (for us, to legal@freesbe.net or Freesbe, Inc., 1646 W Snow Ave, Suite 169, Tampa, Florida 33606, USA). Within 45 days of the notice, we'll meet by phone or video, individually and in good faith, to try to resolve it. Deadlines to bring a claim are paused while we do. This conference is required before either party starts an arbitration.
16.2 Agreement to arbitrate. If the dispute isn't resolved within 60 days of the notice, any dispute, claim or controversy between you and Freesbe, or our affiliates, officers, employees or agents, arising from or relating to these Terms or the Service (a "Dispute") will be resolved by binding arbitration, not in court, except that: (a) either party may bring an individual claim in small claims court if it qualifies; and (b) either party may ask a court for an injunction against infringement or misuse of intellectual property. This agreement to arbitrate also covers Disputes that arose before you agreed to these Terms. The Federal Arbitration Act governs it.
16.3 How arbitration works. JAMS will administer the arbitration under its Streamlined Arbitration Rules for Disputes of less than $250,000 and its Comprehensive Arbitration Rules for the rest, available at jamsadr.com. A request for arbitration must include the claimant's contact details and account email, the legal claims and facts, the relief sought with a good-faith calculation of the amount, a statement that the informal conference took place, and proof that filing fees are paid. The arbitration takes place in the county where you live, or by video, unless we both agree otherwise. Fees are paid as the JAMS rules say. The arbitrator decides every Dispute, including about the scope and enforceability of this agreement to arbitrate, except that a court decides Disputes about Section 16.5, about paying arbitration fees, about whether the informal conference took place, and about which version of this section applies. The arbitrator follows the law and may award any individual relief a court could. The arbitration and what's shared in it are confidential. Judgment on the award may be entered in any court with jurisdiction.
16.4 Jury trial waiver. YOU AND FREESBE GIVE UP ANY RIGHT TO GO TO COURT AND HAVE A TRIAL BEFORE A JUDGE OR JURY FOR DISPUTES COVERED BY THIS SECTION.
16.5 Class action waiver. YOU AND FREESBE MAY BRING CLAIMS AGAINST EACH OTHER ONLY INDIVIDUALLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, REPRESENTATIVE OR MASS PROCEEDING. The arbitrator may not combine more than one person's claims, except as Section 16.6 provides, and may award declaratory or injunctive relief only to the individual party and only as far as needed for their claim. If a court finally decides that this waiver can't be enforced for a particular claim or remedy (such as public injunctive relief), that claim or remedy, and only that one, is decided in court, after the arbitration ends.
16.6 Batch arbitration. If 100 or more similar requests for arbitration are filed against us by or with the help of the same law firm or organization within 30 days, JAMS will administer them in batches of 100, each with one arbitrator, one set of fees per side, and one award. A dispute about whether this applies is decided by an administrative arbitrator JAMS appoints, whose fees we pay.
16.7 Attorneys' fees. Each party pays its own attorneys' fees in arbitration, unless the arbitrator finds a claim or the relief sought was frivolous or brought for an improper purpose.
16.8 30-day right to opt out. You can opt out of this agreement to arbitrate by emailing legal@freesbe.net or writing to Freesbe, Inc.,1646 W Snow Ave, Suite 169, Tampa, Florida 33606, USA, within 30 days after you first agree to these Terms. Include your name, the email address of your account and a clear statement that you're opting out of arbitration. The rest of these Terms still applies.
16.9 Changes to this section. If we make a material change to this section, you can reject it by writing to us within 30 days after it takes effect; the version you last agreed to then keeps applying.
16.10 Governing law and courts. These Terms are governed by the laws of the State of Delaware and the federal laws of the United States, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods doesn't apply. Disputes that aren't arbitrated go to the state and federal courts in Hillsborough County, Florida, and both parties consent to their jurisdiction. If you're a consumer living in the European Union or United Kingdom, nothing here takes away the protection of the mandatory laws of where you live or your right to bring a claim in your local courts.
16.11 Time limit. A Dispute must be started within the time the applicable statute of limitations allows, or it's barred.
17. Changes to these terms
In plain English: We post every version here and list what changed on our legal page. Material changes come with 30 days' notice, and we may ask you to agree again in the app. If you don't want to, cancel and ask for the rest of your period back.
We may update these Terms as the Service, the law or our business changes. We'll post the new version here with its date and version, and say what changed on our legal page. For a material change, we'll tell you at least 30 days before it takes effect, by email or in the app, unless the change is required by law or concerns a new feature, when it may take effect sooner. We may ask you to agree to the new version in the app before you go on using the Service. If you don't agree, stop using the Service and cancel; you can ask for a refund of prepaid fees for the rest of the period. A change doesn't apply to a Dispute that arose before it, and changes to an Order Form must be in writing and signed by both parties.
18. General terms
In plain English: Notices go by email and count as received the next business day. You can't hand this agreement to someone else without asking, except with your whole business. Neither side is responsible for disasters and outages beyond its control, and these Terms, with your plan and our policies, are the whole agreement.
18.1 Notices. We send notices to the email address of your account or the workspace's owner, or show them in the app. You send legal notices to legal@freesbe.net, with a copy by mail to the address in Section 19. A notice by email counts as received the next business day.
18.2 Electronic communications. You agree to receive agreements, notices, receipts and other communications from us electronically, and that they meet any legal requirement to be in writing.
18.3 Assignment. You may not assign or transfer this agreement without our written consent, except to a successor of your whole business that isn't our competitor, with notice to us. We may assign it to an affiliate or a successor of our business.
18.4 Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, such as disasters, war, pandemics, power or internet failures, outages of carriers or hosting providers, strikes or acts of government, other than the obligation to pay.
18.5 Export and government use. The Service is subject to United States export control and sanctions laws. The software and documentation are "commercial items", "commercial computer software" and "commercial computer software documentation" as defined in FAR 2.101 and DFARS 252.227-7014, and US government users get only the rights in these Terms.
18.6 Relationship. We're independent contractors. This agreement doesn't create a partnership, joint venture, agency or employment, and there are no third-party beneficiaries.
18.7 Entire agreement. This agreement is the entire agreement between us about its subject and replaces any earlier agreements and understandings about it. If a provision can't be enforced, it's changed as little as needed to make it enforceable, and the rest stays in effect. Not enforcing a provision isn't a waiver of it. Headings are for convenience only, and "including" means "including without limitation".
18.8 California residents. You may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 400 R Street, Sacramento, CA 95814, or by phone at (800) 952-5210.
